Appointment of Gordon Neal, Keith Henderson and Jonathan Lotz as Directors

The Company announces the appointment of Messrs. Gordon Neal,  Keith Henderson and Jonathan Lotz as directors of the Company effective April 24, 2024, and the resignations of Messrs. Patrick Burns and Roberto Fréraut as directors.  The Company wishes to thank Mr. Burns and Mr. Fréraut for their invaluable contributions to the board, they will remain with the Company as advisors.

Gordon Neal

As previously reported on January 23, 2024, Mr. Neal is a distinguished professional in the metals and mining industry, with a comprehensive background in capital markets, corporate governance, finance, and investor relations. In his most recent executive tenure as the CEO & Director of Tincorp Metals Inc., Mr. Neal demonstrated strategic leadership and industry acumen. His career is marked by a series of prestigious roles, including President of New Pacific Metals Corp, Vice President of Corporate Development at both Mag Silver Corp. and Silvercorp Metals Inc. His governance and strategic insights have also been instrumental on the boards of companies such as Falco Resources Ltd., Balmoral Resources Ltd., Americas Petrogas, Inc., Rock Gate Capital, LLC, and Wealth Minerals ltd. .  Mr. Neal’s career is a testament to his relentless drive, versatile skills, and unwavering commitment to excellence in every endeavor he undertakes. His contributions have not only shaped his companies but have also had a lasting impact on the industries he has been a part of.

Previously to his work in the metals industry Mr. Neal founded Neal McInerney Investor Relations in 1991, demonstrating his entrepreneurial acumen. Under his leadership, the firm achieved remarkable growth by successfully marketing over $4 billion in debt and equity financings, ascending to become Canada’s second-largest full-service investor relations firm with a presence in Vancouver, Toronto, and Los Angeles.

Beyond his corporate achievements, Mr. Neal has made significant contributions to public service, notably as a senior communications adviser in the office of the Prime Minister of Canada, highlighting his adeptness in high-level communication strategies and policy advising.

Keith Henderson

Mr. Henderson has 30 years’ global experience in the mineral exploration industry throughout Africa, Europe, and North and South America. He was educated in Europe, graduating with B.Sc. (Hons) and M.Sc. in geology and has extensive experience in multiple mineral deposit types and commodities. Keith worked with Anglo American Exploration in Europe and North America, leading a number of exploration projects and ultimately, he was appointed project manager for Anglo Coal as the company made its first entry into Canada. In 2007, Keith joined Cardero Resource Corp. as Executive Vice-President, where he played a critical role in advancing the Pampa de Pongo deposit through a positive scoping study and ultimate sale for US$100 million cash. He was formerly President & CEO at Dorato Resources and is currently President & CEO at Velocity Minerals Inc. (TSX.V: VLC) and Latin Metals Inc. (TSX.V: LMS). 

Jonathan Lotz

Mr. Lotz is the senior lawyer and the founder of Lotz & Company. Prior to Lotz & Company, Mr. Lotz worked as a partner at the international law firm, Heenan Blaikie LLP, where he headed the firm’s Vancouver corporate securities and mining practices. He has represented public and private companies in all aspects of corporate and securities matters, and has acted for a variety of clients in different sectors in North and South America, Europe, Asia, Africa, and Oceania. Mr. Lotz is a member of the Bars of British Columbia and New York, and holds a B.Comm and LL.B from the University of British Columbia.

World Copper Closes Final Tranche of Over-Subscribed Non-Brokered Private Placement

FOR IMMEDIATE RELEASE…Vancouver, British Columbia: World Copper Ltd. (“World Copper” or the “Company“; TSXV: WCU, OTCQB: WCUFF, FSE:7LY0) reports that pursuant to their news releases dated February 27, 2024 and April 12, 2024, the Company has closed the final tranche of their non-brokered financing, issuing an additional 16,531,957 units for proceeds of $1,157,237.  Aggregate totals from both tranches total 69,547,069 units for gross proceeds of $4,868,294.89.

Each unit consisted of one common share of the Company (a “Share”) and one-half of one common share purchase warrant (a “Warrant”). Each whole Warrant entitles the holder to acquire one additional share of the Company for a period of two years from the date of issuance at a price of $0.17 per share.  The expiry of the Warrants may be accelerated if the closing price of the Company’s common shares on the TSX Venture Exchange (“TSXV”) is equal to or greater than $0.30 for a minimum of twenty consecutive trading days and a notice of acceleration is provided in accordance with the terms of the Warrants.

The final tranche created a new Insider position, the Robert and Carole Kopple Grandchildren’s Trust dated December 28, 2007, which constitutes a “related party transaction” as such term is defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Company is relying on the exemptions from the formal valuation and minority approval requirements under MI 61- 101. The Company is exempt from the formal valuation and minority approval requirements of MI 61-101 in reliance on sections 5.5(a) and 5.7(1)(a) of MI 61-101 as the fair market value of the transaction, insofar as it involves interested parties, is not more than the 25% of the Company’s market capitalization.

No finder’s fees were payable pursuant to this tranche.

All securities issued in the Offering have a four-month plus one day hold period, during which time the securities may not be traded. Closing of the Offering is subject to the final acceptance of the TSXV.

The net proceeds from the Offering are intended for general working capital and development costs.

World Copper Closes First Tranche of Non-Brokered Private Placement

FOR IMMEDIATE RELEASE…Vancouver, British Columbia: World Copper Ltd. (“World Copper” or the “Company“; TSXV: WCU, OTCQB: WCUFF, FSE:7LY0) reports that pursuant to their news release dated February 27, 2024, the Company has closed a first tranche of their non-brokered financing issuing an aggregate 53,015,112 units for gross proceeds of $3,711,058. Each Unit consists of one common share of the Company (a “Share”) and one-half of one common share purchase warrant (a “Warrant”). Each whole Warrant entitles the holder to acquire one additional share of the Company for a period of two years from the date of issuance at a price of $0.17 per share. The expiry of the Warrants may be accelerated if the closing price of the Company’s common shares on the TSX Venture Exchange (“TSXV”) is equal to or greater than $0.30 for a minimum of twenty consecutive trading days and a notice of acceleration is provided in accordance with the terms of the Warrants.

Insider participation included Gordon Neal, CEO & President (1,714,285 units), Timothy McCutcheon, Director (400,000 units), Sead Hamzagic, CFO (500,000 units) and Robert C. Kopple through his corporation KF Business Ventures, LP (14,285,714 units). These transactions constitute “related party transactions” as such term is defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Company is relying on the exemptions from the formal valuation and minority approval requirements under MI 61- 101. ($11,907.00 cash and 170,100 warrants), Echelon Securities ($4,900 cash and 70,000 warrants), Haywood Securities Inc. ($7,000 cash and 100,000 warrants), RBC Dominion Securities Inc. ($10,780.00 cash only), Research Capital Corporation ($20,128.50 cash and 287,550 warrants), Richardson Wealth ($7,227.50 cash and 103,250 warrants) and Viking Infrastructure Systems Limited ($2,450.00 cash and 35,000 warrants).
